Yeah, I'm guessing that Kaepernick isn't going to be a big draw for the demographic they'll be after.
Second, it needs to be more football, less sideshow like the original XFL was. The football was pretty terrible, and the sideline antics wore thin very quickly. This includes trying to amp up and make the game more violent. There is a certain demographic that loves this sort of thing, and it's exactly the size of the audience that watches WWE. Feilding a football league is infinitely more expensive than wrestling so that audience needs to grow.
This will invariably be part of the new league, and also one of its biggest risks. One of the common knocks about the NFL is that "they're making it like flag football!" which may or may not be a legitimate gripe. But, for a fledgling league, that's likely going to be scrambling for talented players, allowing for a more violent game makes injuries more likely, which in turn, means that the talent pool gets even shallower.I think there's room in the market for this if it's done right. First, spring/summer football makes the most sense. Taking on the NFL directly is suicidal. For historical perspective, the USFL was doing pretty well until...well...not to get political...but until Donnie bought the NJ team, ignored the salary cap, convinced the other owners to move to a fall schedule and sue the NFL. Those moves bankrupted the league, but they did win the lawsuit!

Third, the coaching has to be solid. That's going to be the biggest obstacle, in my opinion. There's plenty of player talent out there that falls between the College and NFL ranks.
This is why it's destined to fail. A leopard can't change its spots. McMahon is going to ramp up the violence and brutality and position the league as "real old school American" football. People might watch for a while and then realize that it's just not a very good product.

They've got to be hoping for an NFL lockout. That would be a massive opportunity. The NFL of today is nothing like the NFL of 1983. It was still big back then, but nothing like the Goliath that it's become. The XFL has a tough row to hoe if it wants to be successful.
